1. Scope and Applicability
1.1 These General Terms and Conditions (hereinafter “Terms”) apply to all services provided by Stage Eleven, available through the website www.stage-eleven.com, to registered clients (hereinafter “Clients”).
1.2 The services offered by Stage Eleven are exclusively aimed at individuals and businesses seeking to book models for private or commercial photo or video productions. Access to certain parts of the website, including model profiles, requires prior registration and approval by Stage Eleven.
1.3 By completing the registration process and using the services, the Client agrees to be bound by these Terms in their current version. Deviating terms or conditions of the Client shall not apply unless explicitly agreed to in writing by Stage Eleven.
1.4 These Terms do not govern the relationship between Clients and Models. All contractual obligations arise solely between the Client and Stage Eleven as the contractual partner.
2. Registration and Account Approval
2.1 In order to access the members-only section and book models, Clients must first complete the online registration form truthfully and in full. Submission of the form does not automatically entitle the Client to access.
2.2 Stage Eleven will manually review each registration request within 72 hours. Approval is granted solely at the discretion of Stage Eleven and may be withheld without providing reasons.
2.3 Once approved, the Client will receive confirmation via email. From that point, the Client may log in to the members area and submit booking requests.
2.4 Each Client must ensure that their login credentials are kept confidential and are not shared with third parties. The Client is responsible for all activities carried out under their account.
2.5 Stage Eleven reserves the right to revoke access or suspend an account at any time if there is reasonable suspicion of misuse, false information, or breach of these Terms.
3. Access to Model Profiles
3.1 Access to detailed model profiles is restricted to approved Clients only. These profiles may include photographs, physical characteristics, and other relevant personal information about the models.
3.2 Model profiles are provided solely for the purpose of considering and arranging bookings through Stage Eleven. Any use of the content beyond this purpose is strictly prohibited.
3.3 Clients are not permitted to copy, download, distribute, or share any content from the members area, including model images and information, without prior written permission from Stage Eleven.
3.4 Stage Eleven retains the right to update, modify, or remove model profiles at any time without notice. Availability of individual models is not guaranteed.
3.5 The Client agrees to treat all information accessed within the members area as confidential and not to disclose it to third parties.
4. Model Booking Process
4.1 Clients may book models either by using the online reservation system provided on the website or by submitting a booking request via the contact form or by email.
4.2 A booking is only considered confirmed once Stage Eleven has explicitly accepted the request and sent a booking confirmation by email. Until this confirmation is issued, no contractual obligation exists.
4.3 Stage Eleven reserves the right to decline a booking request at its discretion and without stating reasons.
4.4 In some cases, such as scheduled tour events, Stage Eleven may display model availability and pricing directly on the website. In such cases, bookings may be completed online in a process similar to an e-commerce checkout. These bookings are also subject to confirmation by Stage Eleven.
4.5 By placing a booking request, the Client agrees to be bound by the applicable pricing and terms of use set out for that specific model or event.
4.6 All bookings must be made in the Client’s own name and may not be transferred or assigned to third parties without prior written consent from Stage Eleven.
5. Contractual Relationship and Role of Stage Eleven
5.1 All bookings and contractual agreements are made exclusively between the Client and Stage Eleven. The models are not direct contractual partners of the Client.
5.2 Stage Eleven acts as the exclusive intermediary and contractual partner in all model bookings. Clients are not permitted to enter into any form of direct agreement with a model, including but not limited to compensation, schedule, or scope of work.
5.3 Any communication regarding the booking, including changes, cancellations, or special requests, must be made through Stage Eleven. Direct contact with models for such purposes is not allowed unless explicitly authorised.
5.4 Models engaged through Stage Eleven are contractually prohibited from negotiating or accepting offers directly from Clients. Any attempt by the Client to circumvent Stage Eleven’s role will be considered a serious breach of these Terms.
5.5 The Client acknowledges that Stage Eleven manages the contractual, organisational, and administrative aspects of all bookings and bears responsibility for coordinating the performance of the agreed services.
6. Fees and Payment Terms
6.1 All fees for model bookings are determined individually and communicated by Stage Eleven during the booking process. Prices may vary depending on the model, duration, location, and intended use of the material.
6.2 Unless otherwise agreed, all fees are payable in advance and must be settled in full before the booking date.
6.3 Accepted payment methods include credit card, PayPal, and bank transfer. Stage Eleven reserves the right to limit or change available payment options at any time.
6.4 The Client will receive an invoice issued by Stage Eleven following confirmation of the booking. Payment details and deadlines will be specified in the invoice.
6.5 In the event that payment is not received by the specified deadline, Stage Eleven reserves the right to cancel the booking without further notice. No claim for performance or damages shall arise from such cancellation.
6.6 All prices are quoted in euros unless stated otherwise and may be subject to applicable taxes or fees depending on the Client’s location and the nature of the booking.
7. Cancellation and Rescheduling Policy
7.1. All bookings made through Stage Eleven are binding upon confirmation and full prepayment. Once confirmed, bookings cannot be cancelled or rescheduled by the Client.
7.2. Payments are non-refundable under all circumstances, including but not limited to schedule conflicts, cancellations, changes of intention, or failure to attend the agreed session.
7.3. In the rare event that a confirmed model becomes unavailable due to illness or force majeure, Stage Eleven will inform the Client as soon as possible and offer either a suitable replacement or a full refund of the booking fee.
7.4. If the Client fails to attend a confirmed session (no-show), the booking fee remains fully due and is non-refundable. No credit or alternative date will be offered.
7.5. The Client acknowledges and agrees to this strict policy as a condition of making a booking through Stage Eleven.
7.6. Any request for change or cancellation submitted by the Client will be considered non-binding and shall not alter the above terms, unless expressly confirmed in writing by Stage Eleven.
8. Usage Rights for Photographic Material
8.1 The Client must specify the intended use of any photographic or video material resulting from a booking during the request process. Usage rights are granted only for the agreed purpose.
8.2 Stage Eleven distinguishes between two categories of usage:
a) Private Use: This includes use for personal portfolios, non-commercial social media accounts, private websites, or similar non-commercial contexts.
b) Commercial Use: This includes but is not limited to use for subscription platforms (e.g. Patreon, OnlyFans), advertising, promotional materials, calendars, workshops, publications, and all forms of commercial exploitation.
8.3 Fees for model bookings vary depending on the intended usage. Commercial use requires explicit approval and may be subject to separate conditions and higher rates.
8.4 Unless otherwise agreed in writing, all rights remain non-exclusive and non-transferable. The Client is not permitted to resell, sublicense, or otherwise transfer usage rights to third parties.
8.5 The Client is responsible for ensuring that any published material complies with the agreed usage rights and does not infringe upon the rights or personal dignity of the model.
8.6 Any unauthorised use beyond the agreed scope shall be deemed a material breach of contract and may result in legal action.
9. Client Obligations and Conduct
9.1 Clients must provide complete, accurate, and verifiable information during the registration process. Any changes to the submitted information must be updated without delay.
9.2 The Client agrees to use the services of Stage Eleven solely for legitimate and respectful purposes. All interactions with models and with Stage Eleven must be professional and appropriate at all times.
9.3 The Client may not share their login credentials or grant access to third parties. The Client is fully responsible for all activities carried out under their account.
9.4 The use of model profiles, contact details, or other content from the members area for unsolicited contact, harassment, or any form of exploitation is strictly prohibited.
9.5 Any attempt to bypass the booking process, to contact models directly for business purposes, or to book them outside of Stage Eleven is considered a serious violation of these Terms.
9.6 The Client is obliged to respect the dignity, privacy, and image rights of all models and may not use any content in a manner that is defamatory, discriminatory, or otherwise harmful.
9.7 Stage Eleven reserves the right to investigate and take action against any conduct that is abusive, inappropriate, or in breach of these obligations, including the suspension or termination of the Client’s account.
10. Liability and Indemnification
10.1 Stage Eleven provides its services with due care and diligence but does not guarantee the availability, suitability, or performance of individual models.
10.2 Stage Eleven shall not be liable for any indirect, incidental, or consequential damages, including lost profits or production delays, arising from or in connection with model bookings or the use of the platform, unless caused by gross negligence or intentional misconduct.
10.3 The Client remains responsible for ensuring that any planned production complies with all applicable laws and that the booked model is treated in a lawful, safe, and respectful manner.
10.4 Stage Eleven is not liable for delays or disruptions caused by events beyond its reasonable control, including but not limited to force majeure, travel issues, illness, or internet outages.
10.5 The Client agrees to indemnify and hold harmless Stage Eleven and its representatives from any claims, damages, or legal costs arising from the Client’s violation of these Terms or from unlawful or unauthorised use of model content.
10.6 Any cancellation or change to a confirmed booking is subject to the applicable cancellation and refund policy of Stage Eleven, which may be provided separately or as part of the individual booking agreement.
11. Modifications to the Platform or Services
11.1 Stage Eleven reserves the right to modify, expand, restrict, or discontinue parts of the platform or specific services at any time, with or without prior notice.
11.2 This includes, but is not limited to, the availability of models, booking functions, pricing structures, and technical features of the website.
11.3 Stage Eleven will take reasonable steps to ensure that ongoing bookings are not negatively affected by such changes. However, no guarantee is given that all services or features will remain available at all times.
11.4 Clients shall not be entitled to compensation or claims due to temporary or permanent changes, interruptions, or the discontinuation of services, provided that such changes do not breach existing confirmed booking agreements.
11.5 Stage Eleven may also update these Terms from time to time. Clients will be notified of any material changes in a timely manner. Continued use of the platform after such notice constitutes acceptance of the updated Terms.
13. Intellectual Property and Copyright
13.1 All content on the Stage Eleven website – including but not limited to text, images, logos, design elements, software, and databases – is the intellectual property of Stage Eleven or its licensors and is protected by applicable copyright and trademark laws.
13.2 Clients are granted a limited, non-exclusive, non-transferable right to access and use the platform for its intended purposes, subject to these Terms.
13.3 No part of the website or its content may be copied, reproduced, modified, published, transmitted, sold, or otherwise exploited without prior written permission from Stage Eleven.
13.4 This restriction also applies to model photographs, profile content, and booking tools provided within the members area.
13.5 Any unauthorised use of Stage Eleven’s intellectual property constitutes a breach of these Terms and may result in account termination and legal action.
13.6 Third-party content, such as photos submitted by models or Clients, remains the property of the respective owners, unless otherwise agreed in writing. The Client is responsible for ensuring that any materials submitted to Stage Eleven do not infringe the rights of third parties.
14. Confidentiality and Data Protection
14.1 Stage Eleven is committed to protecting the privacy and personal data of all users in accordance with applicable data protection laws, including the EU GDPR where relevant.
14.2 All personal information provided by Clients during registration and booking will be processed solely for the purpose of account management, booking administration, and communication, as outlined in the Stage Eleven privacy policy.
14.3 Clients are required to treat all non-public information accessed through the platform – including model details, booking data, and internal communication – as strictly confidential. This information may not be disclosed to third parties without prior written consent.
14.4 Clients are not permitted to save, share, or store personal data of models outside the scope of the agreed booking, except where required by law or expressly authorised by Stage Eleven.
14.5 Stage Eleven implements appropriate technical and organisational measures to protect data from loss, misuse, unauthorised access, or disclosure. However, Stage Eleven cannot guarantee absolute security in the case of external threats beyond its control.

15. Governing Law and Jurisdiction
15.1 These Terms and any contractual relationship arising from bookings made via Stage Eleven shall be governed by the laws of the Federal Republic of Germany, unless mandatory consumer protection laws of the Client’s country of residence provide otherwise.
15.2 If the Client is a business user or a legal entity, the exclusive place of jurisdiction for all disputes arising from or in connection with these Terms shall be Berlin, Germany. In all other cases, the statutory jurisdiction rules shall apply.
15.3 If any provision of these Terms is held to be invalid, unlawful, or unenforceable, the remaining provisions shall remain unaffected. The invalid provision shall be replaced by a valid one that most closely reflects the original intent.
15.4 In the event of discrepancies between translated versions of these Terms, the English version shall prevail.
16. Final Provisions
16.1 These Terms constitute the entire agreement between the Client and Stage Eleven with respect to the use of the platform and the booking of models. Any prior agreements, whether oral or written, are hereby superseded.
16.2 The failure of Stage Eleven to enforce any right or provision under these Terms shall not constitute a waiver of such right or provision.
16.3 Clients may not assign or transfer their rights or obligations under these Terms without prior written consent from Stage Eleven.
16.4 Stage Eleven may assign its rights and obligations under these Terms to an affiliated company or legal successor, provided this does not negatively affect the Client’s rights.
16.5 Any notices or communications related to these Terms must be made in writing and may be sent via email, unless otherwise required by law.
16.6 The English version of these Terms is the authoritative version. Translations may be provided for convenience only and are not legally binding.
